These Terms of Service (“Terms”) constitute a legally binding agreement between Just Verify Ltd, a company registered in England and Wales (“Just Verify,” “we,” “us,” or “our”), and any individual or entity accessing or using our website, platforms, dashboards, or related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
For the purposes of these Terms:
“Platform” means the Just Verify Trust Layer, the Universal Verification Framework (UVF), the Universal Interpreter, dashboards, and any related systems or modules provided by Just Verify.
“User” or “Client” means any individual or organisation that accesses or uses the Services.
“Content” means all reports, resources, data, materials, frameworks, and outputs made available through the Services.
“User Data” means all data, content, or materials uploaded, transmitted, or otherwise provided to the Platform by a User.
“Agreement” means these Terms together with all policies incorporated by reference, including the Privacy Policy and Cookie Policy.
By using the Services, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity and authority to enter into these Terms on your own behalf or on behalf of the entity you represent.
Just Verify provides technology solutions to support artificial intelligence trust, verification, and compliance. The Services include, without limitation:
(a) the Trust Layer, providing AI governance, infrastructure, oversight, verification and dashboards;
(b) the Universal Verification Framework (UVF), providing standards and benchmarks for AI verification;
(c) the Universal Interpreter analyzes, interprets, and communicates the performative behavior of AI models across open and closed ecosystems;
(d) Modular customization configured for specific client requirements depending on scope; and
(e) additional resources such as reports, whitepapers, frameworks, and guidelines.
We reserve the right to update, modify, or discontinue any aspect of the Services at our sole discretion.
The User shall:
(a) use the Services solely for lawful purposes and in compliance with all applicable laws and regulations;
(b) refrain from interfering with, disrupting, or attempting to gain unauthorised access to the Services or related systems;
(c) not copy, reproduce, reverse-engineer, or create derivative works of the Services;
(d) maintain the confidentiality of account login credentials and immediately notify Just Verify of any unauthorised access or use; and
(e) ensure that all User Data submitted does not infringe the rights of any third party and does not contain unlawful or harmful material.
The User shall not:
(a) upload, post, transmit, or otherwise distribute content that is unlawful, harmful, defamatory, infringing, or otherwise prohibited;
(b) introduce or distribute viruses, malware, or malicious code;
(c) attempt to probe, scan, or test the vulnerability of the Services or related systems without prior written consent; or
(d) use the Services in a manner that could damage, disable, overburden, or impair our infrastructure.
Any violation of this Acceptable Use Policy shall constitute a material breach of these Terms and may result in immediate suspension or termination of access.
All intellectual property rights, including copyright, patents, trade marks, and trade secrets, in and to the Services, including the Trust Layer, UVF, Universal Interpreter, dashboards, and related software, shall remain the sole and exclusive property of Just Verify Ltd.
The User is granted a limited, non-exclusive, non-transferable licence to access and use the Services in accordance with these Terms. Nothing in these Terms grants the User ownership of or rights in the Services other than as expressly provided herein.
The User acknowledges that during the course of using the Services, it may receive confidential or proprietary information belonging to Just Verify. The User agrees to maintain the confidentiality of such information and not to disclose or use it except as expressly permitted under these Terms or with prior written consent.
The obligations under this clause shall survive termination of these Terms.
The User shall retain ownership of all User Data submitted to the Services. By submitting User Data, the User grants Just Verify a limited, non-exclusive licence to process such User Data solely for the purpose of providing the Services.
To the extent that User Data includes personal data, Just Verify shall process such data in accordance with applicable data protection laws, including the UK GDPR. Further details are set out in our Privacy Policy and, where applicable, our Data Processing Addendum.
The collection and processing of personal data by Just Verify shall be governed by our Privacy Policy and Cookie Policy. By using the Services, the User consents to such processing in accordance with applicable law.
Just Verify shall use reasonable endeavours to ensure that the Services are available and operational. We may from time to time carry out scheduled maintenance, and where practicable, we shall provide prior notice. Emergency maintenance may be performed without notice.
We shall not be liable for any unavailability, suspension, or interruption of the Services caused by circumstances beyond our reasonable control.
We may suspend or restrict access to the Services, in whole or in part, without liability, if we reasonably believe that:
(a) the User has breached these Terms;
(b) suspension is necessary to protect the security or integrity of the Services;
(c) payment obligations have not been met; or
(d) suspension is required by law or regulatory authority.
Where fees are payable for access to or use of the Services, such fees shall be specified at the time of purchase or in an applicable order form. Payments shall be due in accordance with the agreed plan or package.
Failure to make payment when due may result in suspension or termination of the Services.
Unless otherwise required by law, all payments made to Just Verify are non-refundable. Where Just Verify materially fails to provide the Services as agreed, a User may submit a written request for review, which shall be considered in good faith.
We may engage subcontractors or third-party service providers in connection with the provision of the Services. While we take reasonable steps to select reputable providers, we do not guarantee or accept liability for the performance of such third parties beyond what is required under applicable law.
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law:
(a) Just Verify disclaims all warranties, representations, and conditions, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
(b) we do not warrant that the Services will be uninterrupted, secure, or error-free; and
(c) the Services do not constitute legal, financial, or regulatory advice, and use of the Services does not guarantee compliance with or approval by any regulator.
To the maximum extent permitted by law, Just Verify’s total aggregate liability arising out of or in connection with the Services or these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the User to Just Verify in the twelve (12) months immediately preceding the claim.
In no event shall Just Verify be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, goodwill, or business opportunities, even if we have been advised of the possibility of such damages.
The User agrees to indemnify, defend, and hold harmless Just Verify Ltd, its officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with:
(a) the User’s misuse of the Services;
(b) the User’s breach of these Terms; or
(c) the User’s violation of applicable law or infringement of third-party rights.
If the User provides feedback, ideas, or suggestions regarding the Services, such submissions shall be deemed non-confidential and non-proprietary. The User grants Just Verify a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, adapt, and incorporate such feedback without obligation of attribution or compensation.
With the prior written consent of the User, Just Verify may identify the User as a customer and may reference the User’s name, trade marks, or logos in marketing materials, case studies, or on our website.
The User shall not access or use the Services in violation of any applicable export control, trade sanction, or similar laws. The User represents and warrants that it is not subject to restrictions under such laws that would prohibit its access to the Services.
Just Verify may suspend or terminate a User’s access to the Services immediately upon notice if the User:
(a) breaches these Terms;
(b) misuses the Services; or
(c) fails to make payments when due.
The User may terminate its use of the Services at any time by ceasing access.
Upon termination of these Terms:
(a) all rights and licences granted to the User shall cease immediately;
(b) the User shall discontinue all use of the Services and related materials; and
(c) Just Verify may retain anonymised or aggregated data for internal purposes.
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Users located within the United Kingdom agree that the courts of London, England shall have exclusive jurisdiction over any disputes. For Users located outside the United Kingdom, Just Verify may elect to resolve disputes through binding arbitration under the rules of a recognised international arbitration institution, with proceedings conducted in English.
These Terms are drafted in the English language. If translated into another language, the English version shall prevail in the event of conflict or inconsistency.
Just Verify shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, labour disputes, governmental actions, or failures of third-party systems.
