1 – Introduction

Welcome to Just Verify. These Terms of Service (“Terms”) govern your access to and use of the Just Verify platform, including any services, content, resources, or materials made available through our website or otherwise provided by Just Verify (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

Just Verify is an innovative think tank dedicated to promoting safety and verification in the field of artificial intelligence (AI). Our platform brings together talented professionals (“Talent”) to collaborate and provide companies (“Founding Members”) with valuable insights, frameworks, guidelines, reports, whitepapers, use cases, analysis, and other resources (collectively, the “Resources”).

 

2 – Definitions

  • Talent: Individuals or entities who join the Just Verify think tank to collaborate, share expertise, and contribute to the development of Resources.
  • Founding Member: Individuals or companies that have joined Just Verify’s Founder Membership program, receiving lifetime access to Resources, personalized advisory sessions, and other exclusive benefits.
  • Resources: All materials, data, information, and content made available through the Services, including but not limited to frameworks, guidelines, reports, whitepapers, use cases, analysis, insights, and policies.
  • Content: All materials, data, information, and content made available through the Services, including but not limited to frameworks, guidelines, reports, whitepapers, use cases, analysis, insights, and policies.

 

3 – Eligibility

To access and use the Services, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. By accessing or using the Services, you represent and warrant that you meet these eligibility requirements.

 

4 – Description of Founder Membership Services

The Founder Membership includes the following benefits for members:

 

4.1 Founder Membership Benefits

  • Lifetime Access: Members receive lifetime access to all of JustVerify’s resources, tools, frameworks, and updates, with zero ongoing fees. Your commitment to ethical AI ensures unrestricted access to the resources we provide.
  • Personalized Advisory Sessions: Founding Members enjoy personalized sessions with Just Verify’s leadership team and AI experts. These sessions are tailored to your specific business challenges and provide insight into the ethical AI landscape.
  • Strategic Influence: Founding Members provide strategic input that directly influences JustVerify’s growth and mission alignment with the evolving AI landscape.
  • Recognition & Legacy: Founding Members’ names will be featured on our website, recognizing their legacy and support of ethical AI.
  • Premium Event Access: Founding Members receive exclusive invitations to JustVerify-hosted events, VIP access, and networking opportunities with industry leaders and AI pioneers.
  • Business Direction Support: Founding Members participate in strategic meetings with JustVerify leadership, influencing the company’s trajectory and business decisions.
  • Discounts on Future Services: Founding Members are eligible for special discounts on future JustVerify offerings, including tools, services, and new product launches

5 – Talent Engagement and Participation 

Just Verify welcomes applications from skilled professionals interested in joining the think tank. This section outlines the process and expectations for Talent who wish to engage with the Just Verify think tank.

 

5.1 Talent Application and Approval Process

  • Application: Individuals interested in joining the Just Verify think tank must submit an application through the Just Verify website by completing the required fields and submitting relevant materials (e.g., resume or portfolio).
  • Screening and Evaluation: Applications will be reviewed by Just Verify’s Team. The evaluation process includes a review of the applicant’s qualifications, experience, and alignment with the think tank’s goals.
  • Approval or Rejection: Applicants will be notified via email of the decision within 30 days of application submission. Approved Talent will receive an offer to join the think tank, while rejected applicants will receive feedback, if applicable.
  • Confidentiality: All information provided during the application process will be handled in accordance with the Just Verify Privacy Policy.

 

5.2 Onboarding Process

Once an application is approved, the Talent will go through an onboarding process, which includes:

  • Orientation: Introduction to Just Verify’s mission, values, and ongoing projects.
  • Assignment of Roles: Talent will be assigned to specific roles or projects based on their expertise and the think tank’s needs.
  • Access to Resources: Approved Talent will receive access to internal think tank resources, communication platforms, and other tools necessary for their participation.

 

5.3 Participation and Engagement

  • Monthly Meetings: Talent are expected to participate in monthly think tank meetings conducted via Zoom. Meeting schedules and agendas will be communicated in advance.
  • Collaborative Contributions: Talent are encouraged to contribute actively to ongoing projects, discussions, and research initiatives. Contributions can include participation in brainstorming sessions, drafting reports, developing frameworks, or advising on strategic initiatives.
  • Advisory Support for Founding Members: Talent may be called upon to provide advisory support to Founding Members on an as-needed basis. Such advisory engagements may include participating in meetings, providing insights on AI verification and compliance strategies, and offering expert opinions on specific projects. Compensation for these advisory services will be determined based on the agreement made between Just Verify and the Talent, taking into account the nature of the engagement and Founding Member needs.
  • Code of Conduct: Talent must adhere to the Just Verify Code of Conduct, which emphasizes professionalism, respect, and integrity in all interactions.

 

5.4 Compensation Model

Talent will be compensated based on the terms agreed upon for specific contracts that come in through Just Verify. Compensation is determined by the nature of each project, the Talent’s role, and the requirements of the contract. Compensation models may include fixed fees, hourly rates, or performance-based incentives, as outlined in the Talent’s specific agreement for each project or engagement. Compensation is unrelated to the Founding Member program and is exclusively tied to external contracts and client engagements facilitated through Just Verify.

 

5.5 Termination or Withdrawal of Talent

  • Voluntary Withdrawal: Talent may choose to withdraw from the think tank at any time by providing written notice with a minimum of 7 days’ notice. Withdrawal will not affect the Talent’s ability to apply again in the future, but re-entry will be subject to a new application and review process.
  • Termination by Just Verify: Just Verify reserves the right to terminate a Talent’s participation in the think tank if their conduct or contributions are found to be in violation of these Terms or the Just Verify Code of Conduct.

 

6 – Changes in Founding Member and Talent Status 

 

6.1 Changes in Founding Member Status

  • Upgrades and Changes: Founding Members may request to change their membership benefits by providing written notice to Just Verify. While Founder Membership provides lifetime access, additional features or modifications may be discussed on a case-by-case basis.
  • Cancellation or Suspension: Founder Memberships are non-refundable, and there is no ongoing subscription to cancel. However, Just Verify reserves the right to suspend or terminate a Founding Member’s access for non-compliance or breach of these Terms.

 

6.2 Changes in Talent Status

Talent may request changes in their status or availability by providing written notice to Just Verify at least 7 days in advance. Status changes will be handled as follows:

 

  • Change of Availability: Talent may request to change their availability for specific projects or advisory services based on personal or professional needs. Such changes should be communicated to Just Verify as early as possible to allow for appropriate resource planning.
  • Temporary Leave: Talent may request a temporary leave of absence due to personal, health, or other reasons. During the leave period, the Talent will not be assigned to new projects, and any ongoing engagements may be temporarily reassigned.
  • Withdrawal or Termination: Talent may withdraw from the think tank at any time by providing written notice with a minimum of 7 days’ notice. Just Verify reserves the right to terminate a Talent’s participation at any time for non-compliance, misconduct, or failure to meet performance expectations.

 

7 – Service Availability and Maintenance

Just Verify is committed to providing reliable services and minimizing disruptions to users and Founding Members. While we strive to maintain consistent service availability, occasional maintenance or unforeseen technical issues may temporarily disrupt access. In such cases, we will notify Founding Members of scheduled maintenance at least 48 hours in advance. Emergency maintenance may be conducted without prior notice to address critical security or technical issues. Just Verify is not liable for service interruptions or downtime.

 

8 – User Responsibilities

Founding Members agree to use the Services for lawful purposes only and are responsible for ensuring that their use does not violate any applicable laws or regulations. Founding Members must maintain the confidentiality of login credentials and notify Just Verify immediately of any unauthorized access or use of their account.

Founding Members are responsible for ensuring that their contact information, including email addresses and billing details, are kept up-to-date to facilitate timely communication regarding billing, service updates, and other important notifications.

 

9 – Acceptable Use Policy

Founding Members shall not:

  • Use the Services to transmit any unlawful, harmful, or objectionable content, including but not limited to content that infringes on intellectual property rights, violates privacy rights, or disseminates malware or spam.
  • Reverse-engineer, decompile, disassemble, or otherwise tamper with the Services or any underlying technology.
  • Attempt to gain unauthorized access to any portion of the Services, systems, or networks related to Just Verify.

Violation of this policy may result in suspension or termination of the Founding Members access to the Services.

 

10 – Payment & Renewal Terms

 

10.1 Billing
Founder Membership is offered as a one-time purchase with no ongoing subscription fees. Payment for Founder Membership must be made in full at the time of purchase.

 

10.2 Renewal
Since Founder Membership provides lifetime access, there is no automatic renewal or additional fees.

 

11 – Refund and Cancellation Policy

Refunds are not offered for Founder Memberships, except in cases of failure to deliver services as agreed or early termination by Just Verify without cause. Refund requests must be submitted in writing to contact@madbop.com and are subject to approval based on the terms of this agreement.

 

12 – Dispute Resolution

 

12.1 Negotiation 

Any dispute arising out of or related to these Terms shall first be resolved through good faith negotiation between the parties.

 

12.2 Arbitration

If negotiation fails, the parties agree to resolve disputes through binding arbitration conducted via Zoom, in accordance with the rules of the Irish Arbitration Association or another recognized Irish arbitration service. The arbitration shall be governed by the Arbitration Act 2010 (Ireland), and the decision of the arbitrator shall be final and binding on both parties. The arbitration will be conducted under Irish law, and the location of the arbitration (if not virtual) shall be Ireland.

 

13 – Feedback & Contributions

Subscribers and Talent may provide feedback, suggestions, or ideas to Just Verify. By submitting feedback, Subscribers and Talent grant Just Verify a non-exclusive, perpetual, and royalty-free license to use, modify, and incorporate the feedback into the Services without further compensation or attribution.


14 – Intellectual Property & Confidentiality 

 

14.1 Intellectual Property Rights
All Content, Resources, frameworks, guidelines, reports, whitepapers, and other materials created, shared, or contributed to by Talent during their engagement with the Just Verify think tank shall be considered the exclusive property of Just Verify. Founding Members and Talent agree to assign all rights, titles, and interests in such Content to Just Verify. Founding Members may be credited appropriately for their contributions depending on the resource created, but the ownership of all intellectual property created or developed as part of the think tank activities will remain with Just Verify.

 

14.2 Confidentiality
Talent and Founding Members agree to keep confidential any and all proprietary information, trade secrets, and confidential business information disclosed during their engagement with Just Verify. This includes, but is not limited to, internal strategies, project details, research findings, and personal information of other Talent or Founding Members.

Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law. The obligation of confidentiality shall survive the termination or expiration of these Terms.

 

15 – Non-Solicitation & Non-Competition 

Talent and Founding Members agree not to solicit or attempt to hire any Talent affiliated with Just Verify during the term of their engagement and for a period of 3 years following termination. Additionally, Founding Members and Talent shall not engage in activities that directly compete with the services provided by Just Verify without prior written consent.

 

16 – Data Privacy and Security

Just Verify is committed to protecting the privacy and security of Founding Members and Talent data. All personal and proprietary information collected and processed as part of the Services will be handled in accordance with our Privacy Policy. Just Verify implements industry-standard security measures to safeguard data from unauthorized access, alteration, disclosure, or destruction. Founding Members and Talent retain ownership of their data and grant Just Verify the right to use such data solely for the purposes of providing the Services.

 

17 – Force Majeure

Just Verify shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, or technical disruptions.

 

18 – Termination and Consequences

 

18.1 Termination by Just Verify

Just Verify reserves the right to terminate or suspend Talent or Founding Member access at any time, with or without cause, including for breach of these Terms.

 

18.2 Consequences of Termination

Upon termination, all licenses and rights granted to the Talent or Founding Member under these Terms will immediately cease. Just Verify may retain and continue to use anonymized data collected during the term of the agreement for research or internal purposes. Founding Members and Talent will no longer have access to Resources, advisory support, or any other services provided under their engagement. If termination occurs due to a breach of these Terms by the Talent or Founding Member, no refunds will be provided.

 

19 – Limitation of Liability

To the fullest extent permitted by law, Just Verify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Services.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from our Services.
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.
  • Any errors or omissions in any Content.
  • Any defamatory, offensive, or illegal conduct of any third party.
  • Any issues or disruptions caused by third-party services integrated or used in conjunction with Just Verify’s platform, including but not limited to cloud hosting providers, third-party applications, or software dependencies.

 

20 – Governing Language

The English version of these Terms shall be the authoritative version for the purpose of interpretation and any legal disputes. Translations, if provided, are for convenience only and shall not modify the English version.

 

21 – Miscellaneous Provisions

 

21.1 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Ireland, Dublin. Any dispute shall be resolved in the courts of Dublin, Ireland.

 

21.2 Entire Agreement

These Terms constitute the entire agreement between the parties and supersede any prior agreements.



21.3 Severability

If any provision of these Terms is found to be invalid, the remaining provisions shall remain in full force and effect.

 

21.4 Changes to Terms

Just Verify reserves the right to modify these Terms. Any changes will be posted on our website, and continued use of the Services constitutes acceptance of the updated Terms.
